Life Science Entrepreneur's Business Law Primer
Presented in collaboration with Thomas Jefferson School of Law


This course seeks to provide life sciences entrepreneurs and would-be entrepreneurs with an overview and appreciation of the important legal subjects and skills necessary to operate a successful enterprise. It will cover topics ranging from a company’s start-up phase to growth stage to initial public offering and will include a discussion of a diverse range of business legal topics along with many real-life examples. This class is designed to complement an entrepreneur’s business and technology education and background.
The subjects to be taught include (1) working with an attorney, (2) forms of business entities from a liability and tax standpoint, (3) ownership, boards, and advisory boards, (4) raising money from angels, venture capitalists, non-profits and corporations and the securities law implications, (5) contracts, leases and collaborations, (6) marketing and selling through e-commerce, (7) marshalling human resources and employment law, (8) operational liabilities, litigation and insurance, (9) bankruptcy laws and secured transactions, (10) intellectual property law and trade secrets, patents, trademarks and copyrights, (11) cyber law and domain names, (12) operating globally and international legal issues, (13) buying and selling a business and (14) initial public offerings, secondary offerings and PIPE transactions.
Format: One day class with group exercises and examples.
Business issues: What's really involved in starting an enterprise? A great idea is a great start, but legal, financial, staffing, marketing, and a host of other topics must be addressed if the entrepreneur is to succeed.
Who should attend? Life science entrepreneurs, those who are contemplating starting companies and anyone interested in a better understanding of all of the aspects of business organization.
